Part 11 - Bylaws 11.1 These Bylaws shall not be altered or added to, except by special resolution passed by three quarters (3/4) of current voting members present at a General Meeting. Part 12 – Inspection of Records 12.1 Members may request to inspect the Society’s financial records by providing 30 days’ notice to the President and Chief Executive Officer or the Chair of the Board. Part 13 – Operations and Dissolution 13.1 The affairs of the Society shall be conducted so as to promote the purposes of the Society and the Society shall not carry on activities for the purpose of the personal financial gain of its members. 13.2 Upon the winding up or dissolution of the Society and after payment of all debts and liabilities and with government the disposition of funds allocated as retained earnings, the remaining property of the Society, including funds in the Powering Potential Fund, shall be distributed or disposed of within one year to such organization or organizations in British Columbia with similar purposes, as may be determined by the members of the Society at the time of winding up or dissolution, provided that each such organization is either a registered non-profit society in good standing under the BC Societies Act, a registered charity recognized by the Canada Revenue Agency to be qualified as such under the Income Tax Act, RSC 1985, c 1 (5 th Supp) from time to time in effect. 13.3 The signing authorities for the Society are set out in the Financial Administration Manual that is reviewed by the Directors from time to time.
