Bylaws of BC Games Society
Part 1 - Definitions and Interpretation 1.1 “Society” means BC Games Society. 1.2 “Act” means the Societies Act of British Columbia as amended from time to time. 1.3 “Directors” or “Board” or “Board of Directors” mean the directors of the Society for the time being. 1.4 “Bylaws” means these Bylaws as altered from time to time. 1.5 “Minister” means the Minister Responsible for Sport for the Province of British Columbia or such other member of the Executive Council (as that term is used in the Constitution Act, RSBC 1996, c.66) as the Lieutenant Governor in Council shall appoint in place of the Minister Responsible for Sport. 1.6 Words importing the singular include the plural and vice versa and person includes a corporation. 1.7 If there is a conflict between these Bylaws and the Act or the regulations under the Act, the Act or the regulations, as the case may be, prevail. Part 2 - Members 2.1 The members of the Society shall not total more than fifteen (15) in number or such greater number as may be determined from time to time at a General Meeting. 2.2 The members of the Society are the Directors of the Society as outlined in 4.1. 2.3 The voting members of the Society are the Directors of the Society who are in good standing. 2.4 The representative of the Ministry Responsible for Sport is an ex-officio non-voting member of the Society and any committees they participate in. 2.5 The President and CEO of the Society, who may be appointed to carry out duties of the Society as outlined in Part 7, is a non-voting member of the Society. 2.6 Every member shall uphold the Constitution and comply with these Bylaws. 2.7 There shall be no membership dues payable to the Society. Termination of Membership 2.8 A member ceases to be a member in good standing when declared not to be in good standing by a special resolution passed at a General Meeting. a) A member will be deemed to be not good standing as a result of that member either being in breach of these Bylaws or acting contrary to the purposes of the Society. b) If the member not in good standing has not rectified the situation within six (6) months, their membership is automatically terminated.
